Abstract

The maximization of the value of the company is measured by the results of the activities of the managers, but also complying with the obligations of loyalty, diligence with the company, the shareholders and third parties. This paper discusses the influence of corporate governance on the company structure and more specifically the same in the financial sector. Corporate governance is presented in the framework of the new Basel Agreement, which established corporate governance as a support mechanism to mitigate operative and legal
risks. Finally, the paper comments on the possible effects of the application of the New Basel Agreement in the financial sector.
